GENERAL TERMS AND CONDITIONS OF CONTRACT
SUBJECT OF THE CONTRACT
The subject of this contract consists of the services and activities detailed in the quotation. This contract is effective from the date hereof, and the Client is not entitled to withdraw.
Santangelo Media Studios S.r.l., hereinafter referred to as the “Company”; the recipient of the quotation, hereinafter referred to as the “Client”.
By accepting the above-mentioned quotation, the parties also accept the following general terms and conditions and undertake to comply with them.
This article constitutes the first agreement between the parties.
SERVICES EXCLUDED FROM THE QUOTATION
Activities/services not included in the quotation are not part of this contract.
With regard to the purchase of the following services: models, actors, extras, set design, etc., these will be selected from quotations provided by suppliers external to the Company and subsequently approved by the Client. In such cases, the Company will act solely as an
intermediary and is hereby authorized to enter into contracts with suppliers directly in the name and on behalf of the Client in order to obtain more favorable pricing and discounts reserved exclusively for the Company.
Therefore, the Client consents to third-party suppliers invoicing the Client directly for the services rendered.
In the event that the agreed working hours (8 hours plus a 1-hour break) are exceeded, an additional fee of €50.00 (fifty/00 euros) shall be payable for each additional hour worked and for each person engaged.
TERMS AND METHODS OF PAYMENT; QUANTIFICATION OF THE OFFER; DEFAULT INTEREST; LOSS OF BENEFIT OF TERM; COMPANY RIGHTS IN CASE OF LATE PAYMENT
The lump-sum price is based on the cumulative purchase of all requested services; therefore, partial cancellation is not permitted, as the final price reflects the overall work.
The price includes only the number of videos specified during the briefing; any additional requests will incur extra costs proportional to the agreed price. This also applies to additional models, different sets, or other materials, including third-party purchases, and any other
modifications or additions requested.
Buyouts for audiovisual materials, models, actors, voice-over, music, etc., are included unless otherwise specified in the quotation.
Prices are exclusive of 22% VAT.
The campaign service will be invoiced by the end of the month for the total amount minus the deposit, payable by bank transfer upon receipt of invoice. A 50% deposit is required upon acceptance and will be invoiced immediately.
Although the contract is binding upon acceptance, its effectiveness is subject to the actual use of the services.
EXTRA OR MODIFICATION REQUESTS
Extra requests must be submitted in writing; otherwise, they will not be considered. In urgent or technically constrained cases, requests must be confirmed within 3 days. Without confirmation, the service will not be delivered.
Additional costs arising from modifications or extra services will be invoiced together with the agreed amount.
Ten days before production, the Client must designate representatives authorized to oversee activities and request modifications. If not specified, any representative present is deemed authorized, and the Client cannot later dispute their authority.
ADDITIONAL NOTES AND COMMITMENTS
Santangelo Media Studios S.r.l. is a video and photography production company.
By signing, the Client agrees to comply with the contract, which is based on prior discussions and approvals. The agreed lump sum cannot be reduced, revised, or split.
The Company is not responsible for copyrighted content provided by the Client.
Where specified, the Company acts as an intermediary; contracts remain in the Client’s name.
The Company undertakes to act diligently and secure the best economic conditions.
CANCELLATION TERMS
Subject to Article 3, cancellation is allowed only with written approval by the Company.
Cancellation at least 30 working days in advance requires payment of 100% of pre-production and production costs. Post-production costs will not be charged.
Between 30 and 10 working days prior: 100% of production-related costs apply.
Model/actor fees may be partially refundable depending on timing.
Cancellation after production has begun is not allowed; full payment is due.
CLAIMS AND FORFEITURE
Work carried out with Client representatives cannot be contested except for evident major errors attributable to the Company.
Claims must be submitted within 10 days of discovery or publication; otherwise, services are deemed accepted.
Any legal action must be initiated within six months.
Delivery of materials will not occur in case of non-payment.
INSURANCE
Where included, the Company provides insurance coverage up to €1,000,000 for personal injury and €200,000 for property damage.
FORCE MAJEURE
The Company is not liable for non-performance due to force majeure events, including strikes, disasters, epidemics, or third-party actions.
The Company may terminate the contract if performance becomes technically impossible.
All files are backed up; however, recovery cannot be guaranteed. Liability is limited to production costs only.

USE AND OWNERSHIP OF MATERIAL
The Client is granted usage rights only within the scope and duration specified.
The use of generative artificial intelligence tools to alter, modify, enhance, or transform the subjects depicted, their physical features, clothing, accessories, or the location portrayed is expressly prohibited, unless prior written authorization has been obtained and a specific additional financial agreement has been entered into.
Upon contract expiration, materials remain the exclusive property of the Company.
Unauthorized use incurs a €1,000 penalty per violation.
CLIENT OBLIGATIONS
The Client must comply with all laws and regulations and indemnify the Company against violations.
The Client guarantees ownership of all content provided and that it does not infringe third-party rights.
Prohibited content includes illegal, counterfeit, defamatory, or offensive materials.
The Company may suspend services without compensation in case of violations.
JURISDICTION
The Court of Naples shall have exclusive jurisdiction.
DATA PROTECTION AND PRIVACY
Personal data will be processed in accordance with applicable regulations for contractual purposes.
The Client may consent to receive commercial communications.
The Client has the right to access, correct, or delete their data.

The Client declares to have read and understood all contractual conditions, especially Articles 3, 4, 5, 6, 7, 9, 11, 12, and 13, and accepts them by signing this document.
